Terms & Conditions

Please read these Terms & Conditions carefully before using the Nextera Solutions website or engaging our services. They explain the terms that apply to website use and provide information about our digital services.

Business: Nextera Solutions Last updated: 13 October 2026
Important information These Terms & Conditions are a general draft for Nextera Solutions. They should be reviewed and adapted to your actual services, contracts and policies before publication. Nothing in these terms is intended to remove or restrict any rights that cannot lawfully be excluded, including applicable UK consumer rights.

1. Acceptance of Terms

These Terms & Conditions apply to your use of the Nextera Solutions website at nexterasolutions.co.uk (the "Website").

By accessing or using the Website, you agree to comply with these terms. If you do not agree with them, please discontinue use of the Website.

If you purchase or commission services from Nextera Solutions, the specific proposal, quotation, statement of work or service agreement agreed with you may contain additional terms. Where applicable, those project-specific terms should be read alongside this document. If there is a conflict, the agreed project-specific terms will take precedence to the extent of that conflict.

2. About Nextera Solutions

Nextera Solutions provides digital services, which may include:

  • Website design and website development.
  • E-commerce websites and online store solutions.
  • Digital marketing and social media support.
  • Marketplace support for relevant online selling channels.
  • Graphic design, branding and visual content.

The services available for a particular project will be confirmed in the relevant quotation or written agreement.

3. Use of Our Website

You may use our Website for lawful purposes and in accordance with these terms. You agree not to:

  • Use the Website in a way that breaches applicable law or regulation.
  • Attempt to gain unauthorised access to the Website, its hosting environment or related systems.
  • Knowingly introduce malicious code, harmful files or other disruptive material.
  • Copy, reproduce, distribute or commercially exploit Website content without permission, except where permitted by law.
  • Use the Website to transmit unlawful, fraudulent, defamatory or infringing material.

We may take reasonable steps to protect the Website and its users where we suspect misuse, unlawful activity or a security risk.

4. Our Services

We aim to describe our services accurately. However, information on the Website is provided for general information and does not itself constitute a binding offer to provide a particular service.

The scope, deliverables, timescales, fees, responsibilities and any ongoing support for a project will be confirmed in writing before work begins.

Not every service or feature is suitable for every project. We may recommend an alternative approach where this better reflects the requirements discussed with you.

5. Quotations and Project Scope

Unless stated otherwise, quotations are based on the requirements and assumptions available to us when the quotation is prepared.

A quotation should specify, where relevant, the work included, the fee, the expected timetable, payment arrangements and any important exclusions. Its validity period should be stated in the quotation itself.

Work requested outside the agreed scope, including additional pages, features, integrations, design changes or content, may require a revised quote and an agreed adjustment to the delivery date. We will seek agreement on additional fees before undertaking chargeable extra work.

A project will begin when the necessary acceptance, information, access and initial payment conditions set out in the relevant agreement have been met.

6. Payments and Fees

The fees, payment schedule and payment methods for a project will be stated in the relevant quotation, invoice or written agreement.

Depending on the agreed project terms, payments may include an initial deposit, milestone payments and a final balance. No particular payment structure applies unless agreed with you.

Where an invoice remains unpaid after its due date, we may contact you to request payment and, where permitted by the applicable agreement and law, suspend further work after giving appropriate notice.

Any applicable VAT, taxes or other charges will be handled in accordance with the relevant agreement and applicable law.

Third-party costs, such as domain registration, hosting, paid themes, software licences, stock assets, advertising spend or subscription fees, are included only where expressly stated in the agreed project scope.

7. Client Responsibilities

To help a project proceed efficiently, you agree to provide information, content, approvals and access reasonably required for the agreed work.

Depending on the project, these may include:

  • Accurate business details, service descriptions and contact information.
  • Images, logos, text and other content intended for the Website.
  • Timely feedback, decisions and approvals.
  • Appropriate access to relevant websites, hosting accounts or digital platforms.
  • Confirmation that supplied content may lawfully be used for the intended purpose.

You are responsible for ensuring that material you supply is accurate and that you have the necessary rights, permissions and licences to use it.

Delays in receiving information, access or approvals may affect the project timetable. Where this occurs, revised milestones may need to be agreed.

8. Delivery, Reviews and Revisions

We will make reasonable efforts to deliver the agreed work within the timetable set out in the project agreement. Unless a deadline is expressly agreed as binding, delivery dates are estimates and may be affected by project changes, delayed feedback, third-party services or circumstances outside our reasonable control.

The number of design revisions, review rounds, included amendments and acceptance criteria should be specified in the project agreement. Requests outside the agreed scope may incur additional charges after approval.

Before launch or handover, you should review the deliverables and report any agreed-scope issues within the review period specified in your project agreement.

Unless specifically included in writing, ongoing maintenance, security monitoring, content updates, hosting administration and technical support are not automatically included in a website project.

9. Intellectual Property

9.1 Website content

Unless otherwise stated, the Website's own text, design elements, branding and other original materials are owned by Nextera Solutions or used under appropriate permission or licence. They must not be copied or reused without permission, except where permitted by law.

9.2 Client materials

You retain ownership of materials you own and provide to us. You grant us permission to use those materials to the extent reasonably necessary to perform the agreed services.

9.3 Project deliverables

Ownership of custom designs, website code, graphics, content and other project deliverables will be determined by the written agreement for the relevant project. Where applicable, that agreement should state when ownership transfers and whether full payment is required first.

Third-party software, themes, fonts, plugins, stock images and other licensed assets remain subject to their own licence terms. They may not be transferable to you or sublicensable beyond the rights granted by their owners.

9.4 Portfolio use

We will not assume permission to publish confidential client materials or identify a client publicly. Any use of project work in our portfolio, marketing or case studies should be agreed with you where permission is required.

10. Third-Party Services and Platforms

Projects may rely on third-party services, including hosting providers, domain registrars, payment processors, analytics tools, social media platforms, advertising networks, plugins and online marketplaces.

Those services are generally governed by their own terms, privacy notices, pricing and technical requirements. We do not control independent third-party services and cannot guarantee their uninterrupted availability, future features, pricing, approval decisions or policies.

Where a project depends on a third-party service, we will work within the agreed scope to configure or integrate it. Any additional charges, account requirements or limitations should be discussed as part of the project.

11. Privacy and Data Protection

We handle personal information in accordance with applicable data protection law and our Privacy Policy. Please read the Privacy Policy to understand what information we collect, how we use it and the rights that may apply to you.

If a project involves processing personal data on behalf of a client, the parties should determine their respective legal responsibilities and put any required data processing terms or agreements in place.

You should not provide personal data to us unless it is reasonably necessary for the enquiry or services concerned.

12. Disclaimers and Liability

12.1 Website information

We aim to keep the Website's information useful and up to date. However, general Website content is provided for informational purposes and may not cover every circumstance or requirement.

12.2 Business outcomes

Website design, SEO, digital marketing and e-commerce performance can be affected by numerous factors, including competition, advertising budgets, search engine changes, customer behaviour, third-party platforms and market conditions.

Unless expressly agreed in a binding written contract, we do not guarantee particular search rankings, sales figures, leads, revenue, advertising returns or business results.

12.3 Limitation of liability

Nothing in these terms excludes or limits liability where such exclusion or limitation would be unlawful. This includes, where applicable, liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, and any statutory rights or remedies that cannot lawfully be excluded.

Subject to the preceding paragraph and any applicable mandatory legal protections, liability arising from a paid project will be governed by the agreed project contract and applicable law.

To the extent permitted by law, we are not responsible for losses caused by matters outside our reasonable control or by a client's failure to follow agreed instructions, maintain required accounts or licences, or provide accurate information.

Nothing in this section is intended to remove any rights you may have under the Consumer Rights Act 2015 or other applicable legislation.

13. Cancellations, Refunds and Consumer Rights

The cancellation arrangements for a commissioned project should be set out in the relevant quotation or service agreement, including how completed work, committed costs, deposits and outstanding fees are handled.

Any cancellation charges must be consistent with the agreement and applicable law. We will not rely on this section to impose a charge that is unlawful or unenforceable.

If you are a consumer, you may have statutory rights to cancel certain distance or off-premises service contracts. Whether those rights apply, the applicable cancellation period, and the effect of asking us to begin work during that period depend on the circumstances and the law.

Any request to begin services during a statutory cancellation period, and any required consent or acknowledgement, should be handled separately in accordance with applicable consumer law.

Nothing in these terms takes away a consumer's statutory rights concerning services that do not conform to the applicable legal requirements.

14. Suspension and Termination

A project may be suspended or ended in accordance with the termination provisions in the relevant written agreement.

Where appropriate and legally permitted, we may suspend access to or work on a project if there is a serious security concern, unlawful activity, a material breach of the agreement or an unresolved payment issue. We will consider reasonable notice and an opportunity to resolve the issue where appropriate.

On termination, the parties should settle outstanding obligations in accordance with the applicable agreement and law. Any transfer of completed work, account access, source files or licences will be handled according to the agreed project terms.

15. Governing Law and Jurisdiction

These Website terms and any non-contractual obligations arising from them are intended to be governed by the laws of England and Wales, subject to any mandatory legal protections that apply to you.

The courts of England and Wales are intended to have jurisdiction over disputes relating to these terms, subject to applicable law and any mandatory rights a consumer may have to bring proceedings in another jurisdiction.

If a particular provision is found to be unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

16. Changes to These Terms

We may update these Terms & Conditions from time to time to reflect changes to our Website, services, business practices or legal requirements.

The updated version will be published on this page with a revised "Last updated" date. Changes to an existing paid project will not automatically replace the specific terms already agreed for that project.

We encourage you to review this page periodically to stay informed of the terms that apply to your use of the Website.
